These Terms and Conditions govern your use of the WebScaleLabs website and the services we provide (collectively, the “Services”). By accessing our website or engaging our Services, you agree to be bound by these terms. If you do not agree, please do not use our Services.
About Us: WebScaleLabs is a digital marketing agency that provides services including social media marketing, search engine optimisation, paid advertising, content creation, graphic design, motion graphics, UI/UX design, website development, email marketing, branding, and conversion rate optimisation. Services: The specific services to be delivered, timelines, deliverables, and fees are agreed upon between WebScaleLabs and the client prior to commencement of any work, and are outlined in a separate proposal or service agreement. These Terms and Conditions apply in addition to any such agreement. We reserve the right to decline any project request at our sole discretion.
Payment Terms: Payment terms are specified in the individual project proposal or service agreement. Unless otherwise agreed in writing, invoices are due within 7 days of issue. Late payments may result in a suspension of work until the outstanding balance is settled. We reserve the right to charge interest on overdue amounts in accordance with applicable law. All fees are non-refundable once work has commenced unless otherwise agreed in writing.
Intellectual Property: Upon receipt of full payment for a project, all creative assets and deliverables produced specifically for the client become the property of the client. WebScaleLabs retains the right to display completed work in our portfolio and promotional materials unless the client requests otherwise in writing. Any tools, frameworks, templates, or proprietary processes used in the delivery of our Services remain the intellectual property of WebScaleLabs at all times.
Client Responsibilities: The client is responsible for providing accurate, complete, and timely information, materials, and approvals required for the delivery of Services. Delays caused by the client’s failure to provide required inputs may affect agreed timelines. WebScaleLabs accepts no liability for project delays or quality issues resulting from incomplete, inaccurate, or late information provided by the client.
Confidentiality: Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. WebScaleLabs will not disclose client business information, strategies, or data to any third party without prior written consent, except where required by law or where disclosure is necessary to deliver the agreed Services using trusted third-party providers.
Limitation of Liability: WebScaleLabs will always endeavour to deliver high-quality work and measurable results. However, we cannot guarantee specific outcomes such as search engine rankings, advertising returns, or revenue growth, as these are influenced by factors outside our control including market conditions, platform algorithm changes, and client-side variables. To the fullest extent permitted by law, WebScaleLabs’s total liability in connection with any project shall not exceed the total fees paid by the client for that specific project.
Termination: Either party may terminate a service agreement by providing written notice in accordance with the terms specified in the relevant proposal or agreement. In the event of termination, the client is responsible for payment of all work completed up to the date of termination. WebScaleLabs reserves the right to terminate any engagement immediately if the client breaches these Terms and Conditions or engages in conduct that is unlawful, abusive, or harmful.
Third-Party Platforms: The delivery of some of our Services may involve the use of third-party platforms including Google Ads, Meta, WordPress, and other tools. WebScaleLabs is not responsible for changes, outages, or policy updates made by these platforms that may affect the delivery or performance of our Services. The client is responsible for ensuring they hold the necessary accounts, permissions, and licences required on any third-party platform used in the delivery of their project.
Governing Law: These Terms and Conditions are governed by the laws of the State of Wyoming, United States. Any disputes arising from these terms or from the delivery of our Services shall be subject to the exclusive jurisdiction of the courts of Wyoming.
Changes to These Terms: We reserve the right to update these Terms and Conditions at any time. Changes will be posted on our website and will take effect immediately upon publication. Your continued use of our Services following any update constitutes your acceptance of the revised terms.
